2X Incentive 

• The 2X incentive payment will be equal to 2X of the value of the monthly recurring charge (“MRC”) (one month) for the UCaaS Services on the Service Order Form (“SOF”).

• The 2X incentive is available for an Eligible Order for UCaaS Services having a total MRC between $10,000 and $24,999.
  

• The 2X incentive payment will be made within 45 days following the date of the initial activation of the UCaaS Services.
  

3X Incentive

• The 3X incentive will be equal to 3X of the value of the MRC (one month) for the UCaaS Services on the SOF.
  
• The 3X incentive is available for an Eligible Order for UCaaS Services having a total MRC of $25,000 or more.
  
• The 3X incentive payment will be made in two installments:
  • The initial 1/2 of the total incentive payment will be made within 45 days month following the date of the initial activation of the UCaaS Services.
    
  • The remaining 1/2 of the incentive payment will be made within 45 days following the date the activated UCaaS Services meet or exceed $25,000 in billed MRC.
    
    
• Qualifying opportunities are defined by Masergy as new end-user accounts or existing end-user accounts without Masergy UCaaS Services.
• To be eligible for an incentive under this program, orders must be placed by a Masergy sales partner (or its sub-agent) for the eligible Services on a SOF acceptable to Masergy and executed by an end user (each an “Eligible Order”).
  
• An Eligible Order must not be less than $10,000 of MRC for Unified Communications as a Service (“UCaaS”) and be received by Masergy between July 1, 2020 and December 31, 2020.
  
• The minimum Service term of an Eligible Order must be 36 months.
  
• The maximum payout under this program is $100,000, per end-user account.
  
• UCaaS does not include Masergy CloudCollab Services (Webex Calling)
  
• This incentive does not apply to professional services charges, usage charges, non-recurring charges, or any applicable taxes or related fees.
  
• If applicable, standard Partner Fees will be paid separately outside the regular commission process pursuant to a valid, existing partner agreement between the partner and Masergy.
  
• This promotion may not be combined with any other current channel incentives or promotions.
  
• This promotion will end at Midnight (CT US), December 31, 2020.
  
• If all or part of the Services on an Eligible Order are cancelled prior to installation by the end user, or all or part of the Services on an Eligible Order are not activated within 6 months of the original Service Order date, Masergy may, in its discretion, deduct the incentive payment from future partner fees or require direct repayment from the partner.
  
• Masergy reserves the right to end, modify or deny any claim under this promotion and to modify calculated incentive payments for Eligible Orders that are highly-discounted.
  
• Masergy may modify, suspend, amend or terminate the promotion at any time and without prior notice or consent by participants. Masergy specifically reserves the right to change the promotion in a manner that may modify or eliminate the amount of monetary rewards that may otherwise be payable under this promotion. No designee, may modify, suspend, amend or terminate this promotion.
  
• This promotion is governed by and subject to a valid, existing partner agreement between the partner and Masergy.
